1. Acceptance of Terms

Welcome to FanToFan. By accessing or using our peer-to-peer ticket marketplace platform, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use our platform.

These Terms constitute a legally binding agreement between you and FanToFan. We reserve the right to modify these Terms at any time, and your continued use of the platform after such changes constitutes acceptance of the modified Terms.

2. Eligibility

You must meet the following requirements to use FanToFan:

  • Be at least 18 years of age
  • Have the legal capacity to enter into binding contracts
  • Not be prohibited from using the platform under applicable laws
  • Maintain accurate and current account information

By creating an account, you represent and warrant that you meet these requirements.

3. Account Registration and Security

To use certain features of FanToFan, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and update your information to keep it accurate and current
  • Maintain the security and confidentiality of your account credentials
  • Notify us immediately of any unauthorized access to your account
  • Accept responsibility for all activities that occur under your account

We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent or harmful activities.

4. Platform Overview

FanToFan is a peer-to-peer marketplace that connects ticket sellers directly with buyers. We offer two transaction methods:

  • Free Tier (Standard Messaging): Buyers and sellers coordinate payment and ticket transfer directly. We facilitate communication but do not process payments or guarantee transactions.
  • Protected Transfer (Buyer Protection): We partner with Stripe to process payments, securely hold funds until transfer is complete, enforce transfer deadlines, and protect both parties. This option includes platform fees.

Important: For Free Tier transactions, FanToFan acts solely as a communication platform. We are not a party to the transaction and do not guarantee completion, quality, or legality. For Protected Transfer transactions, we enforce contractual obligations including deadlines and penalties as described in these Terms.

5. Listing Tickets (Sellers)

5.1 Seller Responsibilities

When creating a ticket listing, you represent and warrant that:

  • You are the lawful owner of the tickets or have authorization to sell them
  • The tickets are valid and will be honored at the event
  • All information in your listing is accurate and complete
  • The tickets have not been reported lost, stolen, or cancelled
  • You will not sell the same tickets on multiple platforms simultaneously

5.2 Listing Requirements

All listings must include:

  • Accurate event information (team, opponent, date, time)
  • Correct venue and seating details (section, row, number of seats)
  • Fair and accurate pricing
  • Disclosure of any limitations or special conditions in the notes field

5.3 Prohibited Listings

You may not list tickets that:

  • You do not own or are not authorized to sell
  • Are counterfeit, fraudulent, or invalid
  • Violate any applicable laws or venue policies
  • Are being sold at prices that constitute price gouging under applicable laws

6. Buying Tickets (Buyers)

6.1 Buyer Responsibilities

As a buyer, you agree to:

  • Review listing details carefully before making an offer
  • Submit offers in good faith and honor accepted offers
  • Complete payment promptly after an offer is accepted
  • Communicate clearly and professionally with sellers
  • Verify tickets upon receipt before completing the transaction

6.2 Due Diligence

You are responsible for conducting your own due diligence before purchasing tickets. This includes reviewing the seller's profile, ratings, and transaction history. While we provide market pricing data and deal assessments, these are for informational purposes only and do not constitute a guarantee of value or authenticity.

7. Offer and Negotiation System

7.1 Making Offers

Our platform uses a structured offer system. Buyers submit cash offers, and sellers can accept, counter, or decline. This process may continue until both parties agree on a price or negotiations end.

7.2 Minimum Offer Thresholds

Sellers may set minimum offer thresholds. Offers below this threshold cannot be submitted. This feature is designed to prevent wasted time on offers that will be automatically rejected.

7.3 Binding Agreement

When a buyer or seller accepts an offer, both parties enter into a binding agreement to complete the transaction at the agreed-upon price. Failing to honor an accepted offer may result in negative reviews and potential account suspension.

8. Transaction Process

8.1 Free Tier Transactions

For Free Tier transactions, FanToFan does not process payments. All payments are arranged directly between buyers and sellers using mutually agreed-upon methods (Venmo, Zelle, cash, etc.). We are not responsible for any payment disputes, fraud, or failures. Both parties must mark the transaction as complete to trigger the review process.

8.2 Protected Transfer Transactions

Protected Transfer provides buyer protection and seller accountability through Stripe-powered secure payment processing:

8.2.1 Payment Processing

Buyers pay via Stripe using credit/debit cards or other Stripe-supported methods. Funds are securely held by the platform and not released to sellers until the buyer confirms receipt of valid tickets. By selecting Protected Transfer, you agree to Stripe's Terms of Service and authorize Stripe to process the transaction.

8.2.2 Transfer Deadlines

Once payment is received, sellers must transfer tickets by a system-calculated deadline based on the event date:

  • Events 7+ days away: 72-hour transfer deadline
  • Events 3-7 days away: 48-hour transfer deadline
  • Events 1-3 days away: 24-hour transfer deadline
  • Events under 24 hours away: Minimum 2 hours before event

Critical: Sellers MUST click "Mark as Transferred" after completing the transfer through their ticketing platform (Ticketmaster, AXS, etc.). Failure to mark as transferred by the deadline will result in automatic refund to the buyer, even if tickets were actually transferred.

8.2.3 Buyer Confirmation

After a seller marks tickets as transferred, buyers have 24 hours to:

  • Confirm Receipt: If tickets are received and valid, click "Confirm Receipt" to release payment to the seller
  • Dispute: If tickets were not received or are invalid, file a dispute explaining the issue

If the buyer takes no action within 24 hours, payment is automatically released to the seller (buyer confirmation is presumed).

8.2.4 Missed Deadlines and Refunds

If a seller fails to mark tickets as transferred by the deadline:

  • The buyer receives an automatic full refund
  • The seller's account is flagged for deadline violation
  • The seller may be charged a penalty fee to cover platform costs (see Section 8.4)
  • Repeated violations may result in account suspension or termination

8.2.5 Disputes and Video Verification

If a buyer disputes a transfer claiming tickets were not received or are invalid:

  • Payment is held pending investigation
  • Buyer must provide initial evidence (screenshots, photos, description)
  • For disputes over $100, platform may require a live video verification call
  • Both parties may be contacted for documentation
  • FanToFan administrators make a final determination
  • If resolved in buyer's favor: full refund issued and seller may face penalty
  • If resolved in seller's favor: payment released to seller

Video Verification Process:

For disputes over $100, platform may require a live video verification call. During the call, you must:

  • Join a scheduled video call with platform administrators
  • Screen share or show your phone screen in real-time
  • Open your ticketing platform app (Ticketmaster, AXS, etc.) live on camera
  • Demonstrate your claims and navigate the app as requested
  • Answer questions and provide additional context

Video calls are typically 10-15 minutes and are recorded for quality assurance and evidence purposes. Failure to participate in video verification when requested may result in denial of your dispute. This process protects both buyers and sellers from fraud and ensures fair, fast resolution.

Dispute Decision Criteria:

  • Quality and credibility of evidence from both parties
  • Seller's historical track record and complaint patterns
  • Buyer's historical track record and complaint patterns
  • Timing of complaint (immediate vs. delayed)
  • Verification that proper platform transfer was completed
  • Results of video verification (if applicable)

Frivolous or fraudulent disputes may result in penalties or account suspension. Serial disputers may be banned from the platform.

8.3 Seller Payout Process

For Protected Transfer transactions, sellers must have a verified Stripe Connect account to receive payouts. Once the transaction is completed:

  • Payouts arrive in 1-2 business days via Stripe standard transfer
  • Maximum Payout Timeline: All payouts will be completed no later than 8 days after the event date

Sellers receive the ticket price minus platform fees (see Section 11). Service fees and payment processing fees are deducted before payout.

8.4 Penalty Charges

Sellers who fail to complete Protected Transfer transactions (missed deadlines, disputed transfers resolved against them) are subject to penalty charges designed to compensate for platform costs and deter bad behavior:

  • Penalty Amount: $10.00 platform fee plus actual Stripe processing costs incurred
  • Payment Method: Charged to the payment method on file
  • Automatic Charging: Penalties are charged automatically without additional authorization
  • No Payment Method: Sellers without a payment method on file will have their accounts suspended until penalty is paid

By accepting a Protected Transfer offer, sellers authorize FanToFan to charge penalty fees to their payment method in the event of deadline violations or dispute resolutions against them.

9. Messaging and Communication

In-app messaging is unlocked only after an offer is accepted. Messaging should be used for:

  • Coordinating ticket transfer details
  • Arranging payment methods
  • Sharing contact information if needed
  • Resolving transaction-related questions

Price negotiation must occur through the structured offer system, not through messaging. Users who abuse the messaging system may have their accounts suspended.

10. Reviews and Ratings

After completing a transaction, both parties are encouraged to leave honest reviews. The review system maintains platform integrity and helps users make informed decisions.

10.1 Review Guidelines

  • Reviews must be honest and based on your actual experience
  • Reviews may not contain profanity, personal attacks, or discriminatory language
  • Reviews may not violate the privacy of other users
  • Fake or manipulated reviews are strictly prohibited

10.2 Review Disputes

We may remove reviews that violate our guidelines. However, we generally do not remove negative reviews simply because they are unfavorable. Users may respond to reviews but may not edit or delete reviews once submitted.

11. Fees

11.1 Free Tier

There are no fees for using FanToFan's Free Tier (standard messaging). Listing tickets and completing transactions through direct coordination is completely free.

11.2 Protected Transfer Fees

Protected Transfer transactions include the following fees, paid by the buyer. Our fee structure ensures an 8% total platform fee on the final transaction amount:

  • Platform Fee Structure: 8% total fee (calculated on final amount including fixed fee) + $3 fixed fee
  • Payment Processing Fee: 3.15% + $3.00 (Stripe's processing fee including Connect costs)

Example: For 2 tickets at $100.00 each ($200.00 total):

  • Ticket Price: $200.00
  • Payment Processing Fee: $9.95
  • Platform Service Fee: $10.70
  • Total Paid by Buyer: $220.65
  • Seller Receives: $200.00 (after buyer confirms)

Fees are clearly disclosed during checkout before payment is processed. All fees are non-refundable except in cases of seller failure to deliver tickets (full refund including all fees).

11.3 Seller Onboarding

Sellers who wish to accept Protected Transfer payments must complete Stripe Connect onboarding. This is free and required to receive payouts. Sellers are responsible for any taxes associated with their ticket sales.

11.4 Fee Changes

We reserve the right to modify fees with 30 days advance notice. Continued use of Protected Transfer after fee changes constitutes acceptance of the new fees.

12. Prohibited Activities

You may not use FanToFan to:

  • Engage in fraudulent, deceptive, or illegal activities
  • List counterfeit, stolen, or invalid tickets
  • Manipulate pricing or market data
  • Harass, threaten, or abuse other users
  • Create fake accounts or reviews
  • Scrape or data mine platform content
  • Circumvent platform fees or security measures
  • Use automated systems or bots
  • Violate intellectual property rights
  • Interfere with platform operations or other users' access

13. Intellectual Property

All content on FanToFan, including text, graphics, logos, and software, is the property of FanToFan or its licensors and is protected by copyright, trademark, and other intellectual property laws.

You may not copy, modify, distribute, or create derivative works based on platform content without our express written permission.

14. Disclaimers and Limitation of Liability

14.1 Platform "As Is"

FanToFan is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

14.2 Transaction Guarantees and Limitations

For Free Tier transactions: We do not guarantee the completion, quality, safety, or legality of any transaction. You assume all risk.

For Protected Transfer transactions: While we enforce deadlines and securely hold payments until transfer is complete, we do not guarantee:

  • The authenticity or validity of tickets (you must verify with the venue/ticketing platform)
  • Event cancellations, rescheduling, or venue changes (follow the event organizer's refund policy)
  • The accuracy of seat locations beyond what is listed
  • The usability of tickets for entry if they are later reported stolen or fraudulent

We are not responsible for:

  • The accuracy of listings or user-provided information
  • User conduct or communications
  • Ticketing platform technical issues (Ticketmaster, AXS, etc.)
  • Disputes regarding ticket quality, view obstructions, or seating issues

Our liability for Protected Transfer is limited to refunding the transaction amount in accordance with our refund policy. We do not cover consequential damages such as travel costs, hotel bookings, or other event-related expenses.

14.3 Limitation of Liability

To the fullest extent permitted by law, FanToFan, its affiliates, and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising out of or related to your use of the platform.

In no event shall our total liability to you exceed the amount of fees (if any) you paid to FanToFan in the twelve months preceding the claim.

15. Indemnification

You agree to indemnify, defend, and hold harmless FanToFan and its affiliates from any claims, damages, losses, liabilities, and expenses (including attorney fees) arising from:

  • Your use of the platform
  • Your violation of these Terms
  • Your violation of any rights of another party
  • Your listings, offers, or transactions

16. Dispute Resolution

16.1 User Disputes

Disputes between users should be resolved directly between the parties. While we may provide general guidance, we are not obligated to mediate or resolve disputes.

16.2 Disputes with FanToFan

Any disputes between you and FanToFan shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except where prohibited by law. You waive your right to participate in class action lawsuits.

17. Termination

We reserve the right to suspend or terminate your account at any time for any reason, including but not limited to:

  • Violation of these Terms
  • Fraudulent or illegal activities
  • Abuse of other users
  • Multiple negative reviews or complaints
  • Failure to complete transactions
  • Repeated transfer deadline violations (Protected Transfer)
  • Multiple disputed transactions resolved against you
  • Unpaid penalty fees
  • Chargebacks or payment disputes with Stripe

You may also terminate your account at any time by contacting us. Upon termination, your right to use the platform ceases immediately. Outstanding financial obligations (penalties, disputed transactions) remain due after termination.

If your account is terminated for violations, you may be permanently banned from creating new accounts.

18. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of [Your State], without regard to its conflict of law provisions.

19. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last Updated" date. Your continued use of the platform after such changes constitutes acceptance of the modified Terms.

20. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.
